Terms of Use & End-User License Agreement

These Terms of Use and End-User License Agreement (“Agreement”) govern your access to and use of the Nisi’s Craft Bakery public website at nisiscraftbakery.com, the Nisi’s Craft Bakery Command Center at app.nisiscraftbakery.com, and related sites, web applications, tools, and services (together, the “Services”) provided by Nisi’s Craft Bakery (“we,” “us,” or the “Company”). By accessing or using the Services, you (“User”) agree to be bound by this Agreement. Part A applies to everyone using our public website. Part B applies additionally to anyone granted access to the Command Center. Part C applies to both.

How we handle personal information is described separately in our Privacy Policy.

Part A — Public Website

A1. Permitted Use

The public website is provided for informational and business purposes: to learn about our products, request samples or quotes, download product documentation, and find a distributor. You may view, download, and print pages and spec sheets for your own business use. You may not use the site for any unlawful purpose, scrape or harvest it by automated means, or attempt to interfere with its operation or security.

A2. Product Information, Specifications, and Allergens

We work to keep product descriptions, specifications, ingredients, nutrition data, and images accurate and current. Even so, formulations, suppliers, pack sizes, and case specifications change, and information on this site may not reflect the most recent change.

The packaging and label supplied with the product are the definitive source for ingredients, allergens, nutrition, handling, and storage information. If you are making a purchasing, menu, or safety decision that depends on ingredient or allergen content, rely on the current product label or ask us in writing before you rely on this site. Product images are representative and may differ from the item delivered.

A3. Ordering, Pricing, Quotes, and Samples

This website is a product catalog, not a store. It does not take orders or payment. Our products are sold through foodservice distributors, and product availability, item numbers, and pricing vary by distributor and region.

Any price, quote, sample offer, or lead time shown on or generated through this site is an estimate for discussion, not a binding offer, and is subject to confirmation by us and by the distributor who fulfills the order. Nothing on this site creates a supply obligation. Samples are offered at our discretion to qualified foodservice businesses.

A4. Information You Submit

When you submit a sample request, quote request, spec-sheet request, or other form, you confirm that the information you give is accurate and that you are authorized to provide it and to be contacted about your request at the business contact details you supply. Do not submit confidential or sensitive personal information through our forms.

Part B — Command Center (app.nisiscraftbakery.com)

B1. License to Use

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Command Center solely for your and the Company’s internal business purposes.

B2. Accounts and Access

Access is restricted and provided through a private access link or credentials. You are responsible for maintaining the confidentiality of your access and for all activity that occurs under your access. You agree to notify us of any unauthorized use.

B3. Acceptable Use

You agree not to (a) copy, modify, or create derivative works of the Command Center; (b) reverse engineer or attempt to extract source code except as permitted by law; (c) access it to build a competing product; (d) use it in violation of any applicable law; or (e) interfere with or disrupt its integrity or performance.

B4. Third-Party Services and Data

The Command Center may connect to and exchange data with third-party services, including Intuit QuickBooks and Salesforce, to synchronize business information such as customers, orders, invoices, products, and financial reports. Your use of those third-party services is governed by their respective terms of service and privacy policies. We are not responsible for third-party services.

B5. Your Data

You retain ownership of the business data you provide to or generate within the Command Center. You grant us the right to process that data solely to operate and provide the Services, including syncing with the third-party integrations you connect.

Part C — Terms Applying to All Services

C1. Intellectual Property

The Services, including all software, design, text, photography, spec sheets, catalogs, and content (excluding your business data), are owned by the Company and its licensors and are protected by intellectual-property laws. “Nisi’s Craft Bakery” and our logos are our trademarks. Distributors and customers may use our product names, photography, and spec sheets to sell and promote our products; any other use requires our written permission. No rights are granted except as expressly set out in this Agreement.

C2. Third-Party Links

The Services may link to external websites, including distributor sites. We do not control and are not responsible for their content, practices, or availability.

C3. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that information on them is complete or current. This section concerns the Services; it does not limit any warranty or obligation attaching to products we actually supply.

C4. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

C5. Termination

We may suspend or terminate your access to the Services at any time, with or without cause. Upon termination, the license granted to you ends and you must stop using the Services.

C6. Changes to this Agreement

We may update this Agreement from time to time. Changes are effective when posted on this page with an updated “Last updated” date. Your continued use of the Services constitutes acceptance of the updated Agreement.

C7. Governing Law

This Agreement is governed by the laws of the State of California, without regard to its conflict-of-laws principles.
